Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Vopify website at vopify.io and our payee verification services (collectively, the "Service"), operated by Bountycode Software Ltd. ("Vopify," "we," "us," or "our"), a company registered in Toronto, Ontario, Canada.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

Vopify provides a payee verification service that allows users to verify whether a bank account or payment identifier belongs to the intended recipient before making a payment. Verifications are performed by transmitting beneficiary data to third-party verification network providers and returning the result to the user. The Service supports individual verifications through the web dashboard and bulk verifications via CSV upload.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or is being used for fraudulent purposes.

4. Credits and Payment

The Service operates on a credit-based pricing model. Each verification check consumes one credit. Credits can be purchased on a pay-as-you-go basis or through a subscription plan. Pricing is denominated in US dollars and is displayed on our website.

All credit purchases are final and non-refundable, except where required by applicable law. Unused credits do not expire unless your account is terminated for a violation of these Terms. Subscription plans renew automatically at the end of each billing period unless cancelled before the renewal date.

We reserve the right to modify our pricing at any time. If you are on a subscription plan, we will provide at least 30 days' notice of any price changes before your next renewal date.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not:

• Use the Service to facilitate fraud, money laundering, terrorism financing, or any other illegal activity.
• Submit false, misleading, or fabricated data to the Service.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or excessively load the Service beyond normal usage patterns.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.
• Interfere with or disrupt the integrity, security, or performance of the Service.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated this section.

6. Verification Results and Accuracy

Verification results are provided on an "as-is" basis and reflect the information returned by our third-party verification network providers at the time of the check. Vopify does not guarantee the accuracy, completeness, or timeliness of any verification result.

A verification result is not a guarantee that a payment will reach the intended recipient, nor is it financial, legal, or compliance advice. You are solely responsible for your decision to initiate any payment based on a verification result. Vopify shall not be liable for any losses, damages, or claims arising from your reliance on a verification result.

7. Intellectual Property

All content, software, trademarks, logos, and other intellectual property associated with the Service are owned by or licensed to Bountycode Software Ltd. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. API and Integration Use

If you access the Service through our API or MCP integration, you agree to comply with any applicable rate limits, authentication requirements, and usage guidelines. We reserve the right to revoke API access at any time for misuse or excessive usage.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://vopify.io/privacy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOUNTYCODE SOFTWARE LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bountycode Software Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

13. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Any unused credits remaining in a terminated account are forfeited unless termination was initiated by us without cause, in which case we will refund the value of remaining credits at the original purchase price.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the courts of the Province of Ontario, located in Toronto.

15. Modifications to These Terms

We may revise these Terms at any time by posting an updated version on this page. When we make material changes, we will update the "Last Updated" date and, where practicable, notify you by email. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.

16. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bountycode Software Ltd. regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
